Website Terms

These Website Terms of Use ("Terms") govern access to and use of www.atlasdt.com, any sub-domains, and any associated AtlasDT portal, marketplace, dashboard, or digital service that links to these Terms (collectively, the "Site"). By accessing or using the Site, you agree to be bound by these Terms.

1. About AtlasDT

The Site is operated by Paniani Products Pty Ltd, trading as AtlasDT, ABN [Pending], of Corner Carrington Rd & Thurston St, Suite 10/1 Main St, Box Hill VIC 3128.

2. Eligibility and business use

1. The Site is intended primarily for business, professional and commercial use.
2. If you use the Site on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
3. AtlasDT may refuse access, suspend accounts or limit use where AtlasDT reasonably considers that the Site is being misused or used in a way that creates legal, commercial, operational or security risk.

3. Changes to the Site and the Terms

AtlasDT may update the Site, its features, content, workflows, APIs, pricing presentation, supplier listings, and these Terms at any time. The version published on the Site will apply from its stated effective date. Your continued use of the Site after an update takes effect constitutes acceptance of the updated Terms.

4. Account registration and security

1. You may need to register an account to access certain parts of the Site.
2. You must ensure that information you provide is accurate, current and complete.
3. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account, except to the extent caused by AtlasDT's own failure to maintain reasonable security controls.
4. You must notify AtlasDT promptly at info@atlasdt.com if you suspect unauthorised access to your account.

5. Acceptable use

You must not, and must not permit others to:

• use the Site in breach of any law, regulation, sanctions regime or third-party right;
• submit false, misleading or fraudulent information;
• scrape, harvest, mirror, crawl or systematically extract data from the Site except as expressly permitted in writing;
• upload malware, harmful code, or material that interferes with the Site's operation;
• attempt to gain unauthorised access to systems, accounts, data or networks;
• interfere with security, rate limits, API controls, platform integrity or supplier-buyer workflows;
• copy, reverse engineer, decompile or create derivative works from the Site except where the law prohibits restriction of that activity;
• use the Site to compete unfairly with AtlasDT, to benchmark it publicly without AtlasDT's consent, or to train machine-learning models on protected Site content unless expressly authorised; or
• upload content that is defamatory, infringing, unlawful, obscene or commercially deceptive.

6. Information on the Site

1. Content on the Site is provided for general information and business workflow purposes only.
2. Product data, supplier data, lead times, pricing, availability, technical descriptions, compliance statements and shipping estimates may be supplied by third parties or generated from data sources that can change over time.
3. AtlasDT does not guarantee that all Site content is complete, current, error-free or suitable for your particular purpose. You remain responsible for technical, commercial, legal and regulatory validation before relying on any product or supplier information.
4. Nothing on the Site constitutes engineering, legal, tax, customs, regulatory or financial advice unless expressly stated in a signed engagement.

7. Quotes, listings and marketplace content

1. Unless expressly stated otherwise, product listings, supplier profiles, dashboard outputs, comparison results and quotations displayed on the Site are invitations to treat only and not binding offers capable of immediate acceptance.
2. Any order, engagement or transaction remains subject to AtlasDT's separate contract, statement of work, order confirmation, supplier terms, or Conditions of Sale.
3. AtlasDT may remove, amend or reject listings, supplier content or requests for quotes at its discretion.

8. User content

1. If you upload or submit content to the Site, including RFQs, drawings, BOMs, specifications, messages, reviews, supplier content or other materials, you grant AtlasDT a non-exclusive, worldwide, royalty-free licence to host, reproduce, transmit, adapt and otherwise use that content to operate, secure, support and improve the Site and to perform the relevant services.
2. You represent that you have all rights necessary to submit that content and that AtlasDT's permitted use of it will not infringe any third-party right.
3. AtlasDT may remove content that it reasonably considers unlawful, risky, misleading, infringing or inconsistent with these Terms.

9. Intellectual property

1. AtlasDT and its licensors retain all rights, title and interest in the Site, including its software, design, workflows, text, logos, databases, source data arrangements, graphics, and other content, excluding user content and third-party materials.
2. No licence or right is granted except the limited right to access and use the Site in accordance with these Terms.
3. You must not use AtlasDT's names, logos or marks without prior written consent.

10. Third-party services and links

The Site may link to or integrate with third-party platforms, websites, products or services. AtlasDT is not responsible for the content, performance, availability or terms of those third parties. Your use of third-party services is governed by the applicable third-party terms.

11. Availability and beta features

1. AtlasDT may make the Site, or parts of it, available on a pilot, beta, early-access or trial basis. Such features may be modified, interrupted or withdrawn at any time.
2. AtlasDT does not guarantee uninterrupted availability, absolute security, or that the Site will be compatible with every device, system or browser.

12. Privacy and cookies

Your use of the Site is also subject to AtlasDT's Privacy Policy, Cookie Policy, and, where relevant, the Data Protection page.

13. Disclaimers

To the maximum extent permitted by law, the Site is provided on an "as is" and "as available" basis. AtlasDT disclaims all warranties, representations and conditions not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy of data. Nothing in these Terms excludes any rights that cannot lawfully be excluded, including non-excludable rights under the Australian Consumer Law where applicable.

14. Liability

1. To the maximum extent permitted by law, AtlasDT is not liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, business opportunity, goodwill, anticipated savings, or data, arising out of or in connection with the Site.
2. To the extent AtlasDT is liable in connection with the Site, AtlasDT's aggregate liability will not exceed the greater of:
   • the fees paid by you to AtlasDT for use of the Site or related services in the 12 months preceding the event giving rise to the claim; and
   • AUD {{LIABILITY_CAP_AUD|50000}}.
3. This clause does not exclude liability that cannot lawfully be excluded or limited.

15. Indemnity

You indemnify AtlasDT, its officers, employees and contractors against losses, claims, liabilities and costs arising from your unlawful use of the Site, your breach of these Terms, or your infringement of any third-party rights, except to the extent caused by AtlasDT's own breach or misconduct.

16. Suspension and termination

AtlasDT may suspend or terminate your access to the Site immediately if AtlasDT reasonably believes you have breached these Terms, created security risk, failed to pay applicable fees, or used the Site in a manner that may expose AtlasDT or others to harm, liability or disruption.

17. Governing law and disputes

These Terms are governed by the laws of Victoria, Australia, and the parties submit to the exclusive jurisdiction of the courts of that jurisdiction and any courts hearing appeals from them, unless mandatory law requires otherwise.
